These Terms of Use govern your access to and use of QSBSInvest.com (the "Site"), operated by QSBS Invest ("we," "us"). By accessing the Site you agree to these Terms. If you do not agree, do not use the Site.

The Site provides general information about Qualified Small Business Stock and hosts listings submitted by third-party issuers. Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any security. Any offering is made only by the applicable issuer, only to eligible investors, and only through that issuer's own offering documents.

We are not a broker-dealer, investment adviser, law firm, or accounting firm, and no content on the Site is investment, legal, tax, or accounting advice. Qualification of any security under IRC Section 1202 and eligibility for rollover treatment under IRC Section 1045 depend on facts specific to each issuer and investor and can only be evaluated by your own professional advisors.

Listings describe private offerings limited to accredited investors as defined in Rule 501 of Regulation D. By viewing listing details you represent that you are an accredited investor or an adviser acting on behalf of one.

Listing content is provided by issuers, who are solely responsible for its accuracy and completeness. We do not verify, endorse, or underwrite any listing. We do not receive commissions, carried interest, success fees, or any transaction-based compensation.

You agree that you will not rely on any Site content in making an investment decision and that any decision will be based solely on your own due diligence and the issuer's offering documents.

The Site and its original content are our property or licensed to us. You may not reproduce or distribute Site content without permission, other than issuer materials made available for your evaluation.

The Site is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we will not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or investment losses, arising from your use of the Site, and our aggregate liability will not exceed one hundred dollars.

You agree to indemnify and hold us harmless from claims arising out of your use of the Site or your violation of these Terms.

These Terms are governed by the laws of the State of New York. Any dispute arising out of these Terms or the Site will be resolved by binding arbitration in New York County, New York, on an individual basis, and you waive any right to participate in a class action.
